Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and DigitalGods.ai ("DigitalGods.ai," "Company," "we," "us," or "our") governing your access to and use of the Pushmodo application, website, desktop software, APIs, connected services, and related features (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

You may use the Service only if you can form a binding contract with us and only in compliance with these Terms and applicable law. If you use the Service on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

2. Description of the Service

Pushmodo is a content processing and publishing platform designed to help users transform source material, including videos, text, transcripts, and related input, into short-form clips, social media assets, thumbnails, public pages, and related output. The Service may also provide automation, AI-assisted analysis, account connection, publication workflows, and similar features.

We may add, remove, suspend, or modify features at any time.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have full power and authority to enter into these Terms.

4. Accounts and Security

To use certain parts of the Service, you may need to create an account or sign in using approved authentication methods.

You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Be responsible for activity that occurs under your account
• Notify us promptly of any suspected unauthorized use or security breach

We reserve the right to suspend, restrict, or terminate accounts that appear to violate these Terms, create security risks, or interfere with operation of the Service.

5. User Content and Licenses

5.1 Your Content

You retain ownership of content you upload, submit, connect, or otherwise provide to the Service, including source videos, transcripts, prompts, text, media, and related materials ("User Content").

5.2 License You Grant to Us

You grant us a limited, non-exclusive, revocable, royalty-free license to host, store, process, reproduce, modify, transform, transmit, and display User Content only as necessary to operate, maintain, improve, and provide the Service to you.

5.3 Generated Output

Subject to applicable law, third-party rights, and these Terms, you own or control your rights in the output generated for you through the Service based on your User Content. You are solely responsible for reviewing and determining whether generated output is appropriate, lawful, accurate, and fit for your intended use.

5.4 Your Responsibility

You represent and warrant that:

• You have all rights, permissions, and authority needed to submit User Content and use the Service
• Your User Content and use of the Service do not violate any law, regulation, contract, privacy right, publicity right, intellectual property right, or other right of any person or entity
• You are responsible for all content you publish, distribute, or otherwise use through the Service

6. Acceptable Use

You agree not to, and not to permit others to:

• Use the Service for any illegal, fraudulent, deceptive, harmful, abusive, or infringing purpose
• Upload or process content that violates the rights of others
• Use the Service to distribute malware, malicious code, or harmful material
• Attempt to gain unauthorized access to the Service or any related systems
• Interfere with or disrupt the integrity, performance, or security of the Service
• Reverse engineer, decompile, disassemble, scrape, or attempt to derive source code or underlying models, except to the extent prohibited by law
• Use automated methods to access the Service in a manner that exceeds normal authorized use
• Use the Service to violate platform rules, community guidelines, or API terms of connected third-party services

7. Third-Party Platforms and Integrations

The Service may connect with third-party platforms, APIs, software providers, social networks, hosting vendors, AI vendors, and processing services. Your use of those integrations is subject to the terms, conditions, and policies of those third parties.

When you connect third-party accounts through OAuth or other authorization methods, you authorize us to access and use those accounts only to the extent necessary to provide the features you request.

We are not responsible for third-party platforms, their availability, their content moderation decisions, their API limitations, or any action they take with respect to your account or content.

8. AI-Generated Output

Pushmodo may use artificial intelligence and automated systems to analyze content, select moments, generate clips, create thumbnails, draft posts, and produce other output.

AI-generated output may be inaccurate, incomplete, biased, or unsuitable for your intended purpose. You are solely responsible for reviewing, editing, approving, and using all generated output before publication or distribution.

We do not guarantee that AI-generated output will be error-free, unique, legally compliant, or fit for any particular purpose.

9. Fees and Payments

Some parts of the Service may be offered for a fee, by subscription, usage-based billing, or under separate commercial terms. If you purchase paid features:

• You agree to pay all applicable fees and taxes
• You authorize us or our payment processor to charge your selected payment method
• Unless otherwise stated, fees are non-refundable

We may change pricing, plans, or billing terms at any time, with notice when required by law or contract.

10. Intellectual Property

The Service, including its software, code, design, interface, workflows, logos, trademarks, branding, documentation, and underlying technology, is owned by DigitalGods.ai or its licensors and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights, title, or interest in the Service are transferred to you.

11. Service Availability and Changes

We may modify, suspend, discontinue, or restrict all or any part of the Service at any time, with or without notice. We do not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free.

Maintenance, outages, technical failures, provider interruptions, API changes, and other events may affect the Service.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we believe:

• You violated these Terms
• Your use of the Service creates legal, security, or operational risk
• We are required to do so by law or by a third-party provider
• The Service or part of it is being discontinued

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITALGODS.AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR NEEDS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITALGODS.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
• ONE HUNDRED U.S. DOLLARS (US $100)

15. Indemnification

You agree to defend, indemnify, and hold harmless DigitalGods.ai and its officers, directors, employees, affiliates, contractors, agents, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your User Content
• Your use of the Service
• Your violation of these Terms
• Your violation of any law or the rights of a third party
• Your content published or distributed through third-party platforms using the Service

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service will first be addressed through good-faith efforts to resolve the matter informally.

If a dispute cannot be resolved informally, it will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its applicable rules, unless applicable law requires otherwise. The arbitration will take place in Delaware, unless another location is required by law or agreed by the parties.

To the extent permitted by law, you and DigitalGods.ai agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or security interests.

17. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we may post the updated Terms through the Service, update the effective date, or provide notice by other reasonable means.

Your continued use of the Service after revised Terms become effective means you accept the updated Terms.
